OpenAI is considering major changes to its corporate structure to better fulfill its mission of ensuring that artificial general intelligence (AGI) benefits all of humanity. According to OpenAI, organizations are evaluating their current setup to ensure long-term success and sustainability.
Current structure and challenges
OpenAI currently operates under a dual structure consisting of a non-profit organization and a for-profit organization. This model facilitated funding for nonprofit initiatives through the financial success of the for-profit sector. But as the organization plans to expand its ambitions, the need for a more robust structural model becomes clear.
The organization started as a research lab in 2015 and relies heavily on donations. OpenAI’s initial focus was purely on research, requiring relatively little computing power and financial support. As the potential of AGI unfolds, the need for significant computing resources and capital becomes clear. This realization led OpenAI to establish a for-profit arm in 2019, attracting significant investment, including a $1 billion partnership with Microsoft.
Proposed Changes
To effectively continue its mission, OpenAI is proposing to convert the existing for-profit corporation into a Delaware public benefit corporation (PBC). These changes aim to balance profit-making with the broader public interest of advancing AGI for the benefit of humanity. The PBC structure is intended to make it easier for OpenAI to raise funds from investors by attracting the necessary capital on existing terms.
The proposed changes also aim to make nonprofits more sustainable. By converting its stake in the for-profit sector into a stake in PBC, OpenAI expects to significantly increase the resources available to the non-profit sector. This transition will allow nonprofits to expand their initiatives in areas such as health care, education, and science.
Looking into the future
By 2025, OpenAI plans to develop into a sustainable company that not only focuses on research and development, but also creates sustainable impact through non-profit activities. The Board of Directors, with the guidance of external advisors, is tasked with implementing these structural changes to enable it to successfully carry out its mission.
